1. Introduction

These Terms of Use ("Terms") govern your access to and use of the website located at nexit365.com (the "Website"), operated by Nex Information Technology Consultancy LLC ("NexITC", "we", "our", "us"). By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

2. Scope

These Terms govern your use of the Website only. They do not govern the provision of consulting services by NexITC, which are set out in individual statements of work, master services agreements, and any accompanying schedules agreed separately in writing with the client.

Where a client has entered into a written agreement with NexITC, the terms of that agreement prevail over these Terms in respect of the subject matter of that agreement.

3. Intellectual Property

Except where otherwise attributed, all content on the Website — including text, graphics, layouts, illustrations, logos, service descriptions, case study narratives, insights articles, field notes, and the NexITC name and marks — is the property of NexITC or its licensors and is protected by applicable intellectual property laws.

You may view, download, and print content from the Website for lawful personal, non-commercial reference purposes, provided that you do not remove any proprietary notices. Any other use, including reproduction, republication, redistribution, adaptation, or commercial use, requires prior written consent from NexITC.

Third-party trademarks referenced on the Website are the property of their respective owners. Reference to a third party's trademarks does not imply endorsement or partnership unless expressly stated.

4. Permitted Use

You may use the Website to:

  • Learn about NexITC's services, insights, and approach
  • Read our published content, including case studies, field notes, and blog posts

  • Interact with the NexITC Assistant chatbot

  • Reverse engineer, decompile, or attempt to derive the source code of the Website or the NexITC Assistant
  • Use the NexITC Assistant to generate content that is unlawful, defamatory, discriminatory, or infringing
  • Submit false, misleading, or fraudulent information through the Contact Clinic form
  • Impersonate any person or misrepresent your affiliation with any organisation
  • Introduce malicious code, viruses, or other harmful material to the Website
  • Copy, republish, or redistribute Website content in a manner that breaches Section 3

6. Case Studies, Insights, and Published Content

Case studies published on the Website are illustrative composites intended to demonstrate the shape of NexITC's engagement approach. Unless expressly stated otherwise, they do not identify specific clients and represent the pattern of a class of engagement rather than a single specific engagement. Quantitative outcomes shown are indicative and depend on scope, baseline conditions, and client circumstances.

Insights — including field notes and blog posts — are published for general informational purposes only. They reflect the views of NexITC at the time of publication and do not constitute advice on any specific technical, commercial, regulatory, or legal question. 7. NexITC Assistant (Chatbot)

The NexITC Assistant is an informational tool that answers questions about NexITC's services, insights, and approach using automated retrieval and generation. It is provided as a navigation aid.

The NexITC Assistant:

  • Is not a substitute for a scoped conversation with a Practice Lead
  • Does not provide personalised technical, commercial, regulatory, or legal advice
  • May occasionally produce responses that are incomplete, out of date, or otherwise imperfect
  • Uses automated processing but does not make decisions with legal or similarly significant effects about you

9. Warranties and Disclaimer

To the maximum extent permitted by applicable law, the Website and its content are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

NexITC does not warrant that the Website will be uninterrupted, error-free, secure, or free from harmful components, or that any content is accurate, complete, current, or reliable.

Nothing in these Terms limits or excludes any warranty or liability that cannot be limited or excluded under applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall NexITC, its officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising from or in connection with your use of the Website — even where NexITC has been advised of the possibility of such damages.

NexITC's total aggregate liability arising from or in connection with your use of the Website shall not exceed one thousand United Arab Emirates dirhams (AED 1,000) or the maximum extent permitted by applicable law, whichever is lower.

This Section 10 does not apply to liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless NexITC, its officers, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your breach of these Terms, your misuse of the Website, or your violation of any applicable law or third-party right.

12. Modification of Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top. Continued use of the Website after changes constitutes acceptance of the updated Terms. Where changes are material, we will make reasonable efforts to bring them to your attention.

13. Governing Law and Jurisdiction

These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Abu Dhabi, without regard to conflict-of-law principles. Any dispute arising from or in connection with these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be construed, to the extent possible, in a manner that achieves the parties' original intent.

15. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and NexITC concerning your use of the Website and supersede all prior agreements, understandings, and communications on that subject.
